Commercial Contracts

There is a saying that

"an oral contract isn't worth the paper that it is written on!".
In these increasingly litigious times, it is now more important than ever for businesses to ensure that they have enforceable contracts which protect their interests be they contracts of employment for staff or terms and conditions of trading.

Even if you have had contractual documentation drafted by a lawyer in the past have you had it reviewed recently? Is it still legal and enforceable?

At Nathan Gabrielle, we encourage our clients to audit their documentation at least once every three years. Whilst we appreciate that there is an element of "you would say that wouldn't you", we know to the cost of our clients that in some cases checking over a contract in advance which may have cost £250 could have saved some clients many thousands of pounds in litigation fees.

Commercial contracts are not necessarily always as thick as telephone directories and in the smallest print. In some cases such as the sale of a business for many of hundreds of thousands of pounds, in might be necessary to have a detailed contract. In other cases such as terms and conditions of sale the document might be no longer than a single page.

The most important thing to bear in mind as far as commercial contracts are concerned is to ensure that they are right for your business. If for example you want to have a retention of title clause so that title to the goods which you sell remains yours until they are paid for then, you have to have an express clause in the contract.
